100% Transparency Movement

Our Commitment

In December 2023, we joined the 100% Transparency Movement as part of our commitment to integrity, ethical engagement with government authorities and responsible governance. This initiative is embedded in the work of the Brazil Network of the United Nations Global Compact, which Americanas joined in 2013, reinforcing its commitment to the Ten Universal Principles in the areas of Human Rights, Labour, Environment and Anti-Corruption.

Since 2015, we have also been part of the 2030 Agenda, actively contributing to the achievement of the Sustainable Development Goals (SDGs) and strengthening our role in building a fairer, more inclusive and more sustainable economy.

In Brazil, the Global Compact has been active since 2003 and now brings together more than 1,900 participants. The Brazil Network leads over 50 projects through its Action Platforms and thematic Movements, such as 100% Transparency, which encourages the proactive disclosure of information and policies related to corporate integrity, engagement with government authorities and the fight against corruption.

By publicly adopting the Movement’s goals, we reaffirm our commitment to a transparent and accountable business practice, aligned with global sustainability challenges. We believe that building a fairer society necessarily requires stronger integrity within organizations.

On this page, you can follow the implementation timeline, the definitions of the goals we have adopted, the performance indicators and the progress achieved to date.

Goal 1

100% Transparency in Interactions with Government Authorities

This goal seeks to ensure the public, clear and accessible disclosure of material interactions, contracts, concessions, licences, public-policy advocacy agendas and internal policies relating to Government Authorities, fostering integrity, accountability and trust in institutional processes, as well as a culture of active transparency at all levels of the Company.

Goal 1 in detail

With a compliance deadline of 2025, this goal aims to ensure that all material interactions between the Company and representatives of Government Authorities, at any level (federal, state or municipal), are disclosed in a clear, accessible and objective manner. This includes meetings, contacts, events and any type of material communication with public officials.

The goal also requires the full publication of contracts, licences and concessions entered into with government entities, as well as of the agendas on which the Company seeks to exert influence in public policy, together with its respective institutional positions.

In addition, the Related Party Transactions Policy must be publicly available. Should the Company have no interactions with government entities or no contracts/licences in force, this absence must also be expressly disclosed, reinforcing its commitment to active transparency and institutional integrity.

Material interactions – No records in the period

Contracts – No records in the period

Public policy – Indirectly, through ABVTEX (Brazilian Textile Retail Association) and IDV (Retail Development Institute), the Company took a sector-level position in favour of tax parity with respect to the low-value import tax on cross-border e-commerce (the so-called “taxa das blusinhas”), in support of fair competition;

The CEO of Americanas S.A., Fernando Dias Soares, took a seat on ABVTEX’s board and reinforces this position with policies on inclusion, diversity and sustainable development.

Information refers to fiscal year 2025.

Goal 2

Senior Management 100% Integrity-Based Compensation

It aims to ensure that integrity criteria are formally included in the variable compensation of senior management, encouraging the incorporation of ethics as an institutional value, in order to balance financial targets with commitments to compliance, accountability and ethical conduct at all decision-making levels.

Details of Goal 2

With a commitment to compliance by 2030, this goal seeks to ensure that ethics and integrity are part of the formal criteria used in the variable compensation policy for senior management. The Company must clearly disclose how these criteria are embedded in its incentive programs, promoting a balance between financial performance targets and commitments to ethical conduct.

In addition, the Company must disclose the proportion of senior leadership members whose compensation targets are linked to integrity indicators, such as completion of training courses, compliance with compliance policies, or ethical culture targets. This disclosure demonstrates the strategic alignment between corporate governance and executive accountability.
Goal 3

100% of the High-Risk Value Chain Trained in Integrity

It seeks to ensure that all suppliers classified as having a high risk of corruption are fully trained through structured integrity, compliance and anti-corruption training programs, promoting alignment with the Company’s ethical standards and strengthening a culture of accountability and compliance throughout the value chain.

Goal 4

100% Transparency of the Compliance and Governance Structure

This goal seeks the complete, clear and accessible disclosure of the organizational structure of the Company’s compliance and governance functions, including an up-to-date organizational chart with the names, positions and reporting lines of all professionals involved, regardless of hierarchical level, ensuring institutional transparency, stronger stakeholder trust and visibility of accountability for these strategic functions.

Goal 5

100% Transparency on Whistleblowing Channels

This goal seeks to ensure the broad disclosure of the Company’s whistleblowing channel, guaranteeing accessibility to both internal and external audiences, with clear rules of use and guarantees of anonymity and protection against retaliation. It also covers the publication of statistical data on the volume, source and handling of reports, promoting transparency, trust and the effectiveness of the integrity system.

Goal 5 in detail

Americanas provides an independent, specialized Whistleblowing Channel, operated by a third-party provider and accessible to both internal and external audiences, allowing employees, partners and third parties to report irregularities while ensuring anonymity, strict confidentiality and non-retaliation, in accordance with the Whistleblowing Reporting and Handling Policy, in order to foster an ethical, transparent and safe environment.

From January to June 2025, 1,711 reports were received, of which 560 progressed to 357 investigation cases.

All substantiated reports were subject to disciplinary measures in accordance with the Company’s consequence management guideline.
